Frasers Group bought 198,666 more Hugo Boss shares on October 23, 2026, lifting its holding to 50.08% and making the German house a subsidiary. The filing gives the share counts, the accounting and Hugo Boss's half-year numbers.

Frasers Group now owns 50.08% of Hugo Boss. In an October 23, 2026 announcement, the UK retailer said it bought 198,666 more shares for €7,630,761, lifting its stake past 50% and making the Metzingen fashion house a subsidiary whose results Frasers will consolidate. Some outlets printed 50.8%; the filing says 50.08%.

What the filing says

The announcement, titled "Update on investment in HUGO BOSS," states that Frasers now holds 34,468,065 Hugo Boss shares, "representing 50.08% of HUGO BOSS' total share capital." It also holds interests in up to 15,050,100 further shares through sold put options, equal to up to 21.87% of the share capital. A sold put option obliges the seller to buy the shares if the holder chooses to exercise. The filing does not say whether any will be.

The last purchase was small. By our arithmetic, €7,630,761 for 198,666 shares is about €38.41 a share, a hair above the €38 that Frasers offered in June. The money came from existing cash, and the transaction needs no Frasers shareholder vote: it counts as a "significant transaction" under UK Listing Rules, but is "not subject to shareholder approval."

How it got here

FashionUnited reports Frasers first invested in 2020 with a 5% stake. In June 2026 it launched a cash offer of €38 per share, which Hugo Boss's management and supervisory boards rejected as "financially inadequate," FashionUnited reports. A Frasers announcement of August 18, 2026 shows that even so, the offer moved the stake: valid acceptances covered 12,157,598 shares, about 17.62% of the capital, taking Frasers to 33,054,959 shares, or 47.89%.

From there it was a creep. FashionUnited cites an October 19 filing at 48.8%, then the October 23 purchase crossed the line. FashionUnited estimates the total outlay at about €1.2 billion, of which roughly €475 million went on shares tendered in the offer. Those are the publication's estimates, not Frasers figures.

What changes at Hugo Boss

The boardroom shifted before the stake did. FashionUnited reports that supervisory board chairman Stephan Sturm stepped down and that Frasers chief executive Michael Murray was elected chairman in September. Chief financial officer Yves Müller left in early October, Ivica Maric became chief financial and chief operating officer on October 1, and Hugo Boss ended its share buyback programme early.

“in the best interests of Frasers and Frasers' shareholders as a whole”

For Frasers, the accounting changes immediately. Hugo Boss's earnings, assets and liabilities will be consolidated into Frasers' accounts. The announcement gives an illustrative calculation, assuming the deal had completed on April 26, 2026. It shows goodwill, including acquired intangibles, of €981.2 million, set against Hugo Boss net assets of €1,634.0 million. The roughly 49.9% of shares Frasers does not own is carried as a non-controlling interest of €1,305.4 million, measured at €38 a share. Frasers' existing stake would be revalued to €1,302.2 million, a €36.9 million reduction booked as a charge to the income statement. Frasers labels all of this unaudited pro forma information "for illustrative purposes only."

What Frasers is buying

Frasers' own table, drawn from Hugo Boss's unaudited figures, gives the picture:

  • 2025 revenue of €4,269.8 million, with EBITDA of €781.5 million.
  • First half 2026 revenue of €1,810.0 million, against €2,000.0 million in the first half of 2025, a fall of 9.5% by our arithmetic.
  • First half 2026 operating result (EBIT) of €94.0 million, against €142.0 million a year earlier.
  • First half 2026 gross profit of €1,152.0 million, a 63.6% margin by our arithmetic, up from 62.1%.

So the company Frasers now controls is selling less and earning less than a year ago, while keeping a higher gross margin. Frasers puts the pro forma combined EBITDA for the 52 weeks to April 26, 2026 at €1,874.3 million (£1,598.9 million), a blend of its results and an estimate for Hugo Boss.

FashionUnited places Hugo Boss's market value at about $2.9 billion and Frasers' at about $5 billion. It also lists Frasers' other fashion positions, including a Burberry stake raised to 7.42% in October, a Mulberry holding, and a newly launched Frasers Group Luxury division that combines Flannels, Harvey Nichols and The Webster. For how these stakes sit beside other luxury ownership, see our explainer on who owns Versace after the Prada deal.

The size of the combination

Frasers' announcement sets the two companies side by side. Hugo Boss's last twelve months to June 30, 2026 show revenue of €4,079.8 million and an operating result of €342.7 million, in the table Frasers built from Hugo Boss's unaudited figures. Frasers' own last twelve months to April 26, 2026 show revenue of £5,325.9 million. The two periods and currencies differ, so the figures cannot simply be added, and Frasers says so by labeling its combined EBITDA a pro forma estimate.

What we do not know

The filing says nothing about delisting, a squeeze-out or a new offer. The October 23 text gives no plan for further purchases. We did not find a Hugo Boss statement reacting to the control change in the sources we opened.

Our take

Treat October 23 as an accounting and governance event first. Frasers already had the chairman, the finance team changes and the largest vote. What it now gets is Hugo Boss's full revenue on its own income statement and a company that is shrinking in the first half. Watch Hugo Boss's next quarterly figures and whether Frasers uses the put option exposure or buys more. A takeover that the Hugo Boss boards called financially inadequate in June ended with the buyer at the controls anyway.

Every number here is from Frasers' October 23 and August 18, 2026 announcements unless FashionUnited or Just Style is named. This is reporting, not investment advice.
